AFFILIATE PROGRAM CONTRACT
1. DEFINITIONS
1. In this Agreement, where we use the following words we use them with the meanings set out below.
Affiliate
A Company/Person whom we have accepted into the Program. Affiliates once accepted do not gain any relationship with AutoeBid other than becoming an Affiliate member as per this agreement and may not claim to be employed, our agency, a partner, claim a joint venture or any other relationship other than an Affiliate Member.
Affiliate Pages
Pages on our website that refer to information on our Affiliate program.

Referral/Sale Commission
The fees described in clause 2.
Referred Visitors
Users who have reached our website from your website as stated on setting up your account.
Referral Sale
The sale of any goods by us to a Referred Visitor

2. PARTIES
1. This Agreement is between Affiliate and AutoeBid and is effective from the date we confirm your acceptance by email.
2. Breakdown of agreement
Our Intellectual Property is fully protected.
You agree:
Inform us of any changes to your company.
You use the correct formats/graphics requested.
To use the correct referral links given to enable us to track your referrals.
Not to use any information from our website without prior consent (including pricing information).
Referrals who become customers remain our customers not yours.
To allow us to disclose the fact that you are an Affiliate.
We agree:
We will take all referrals through the complete sales cycle.
We reserve the right to accept orders from Referred Visitors or the deal with Referred visitors.
We will track all Referred Visitors who have converted to sale and provide a report of your referrals. We may vary the frequency or form of our reports to you as we see fit.
We will pay you Referral Commission on confirmed referral sales as in clause 3.
Any goodwill in our Intellectual Property created by your being an Affiliate belongs to us.
3. COMMISSION
We agree to pay you Referral Fees only for Referrals that convert to Sale as below:
25% commission per Sale - A sale is when the purchase is successful and the buyer purchases the vehicle from any supplier.
If there is a problem with the sale a refund of our fee is supplied no commission will be paid.
Commission is calculated on a monthly basis and paid after 1 month after delivery.
4. PAYMENTS
Commission is paid on a monthly basis; any cancellation of order by your referrals will result in your commission being withdrawn. If we have already paid you a commission on a Referral and they cancel your agree to return the commission paid to you within 2 weeks of notification.
Payment will be sent to the name and address on your application.
5. TERMINATION OF THIS AGREEMENT
Either party is able to terminate this agreement at any time subject to 1 weeks written notice given by fax email or post.
We will pay to you within 60 days of the date of termination any outstanding monies due.
Both parties will not refer to each other in any way.
6. YOUR INDEMNITY TO US
You agree to indemnify us as a result of the development, operation, maintenance and contents of your Website. Your breach of any of the provisions of this Agreement
7. VARIATION OF THIS AGREEMENT
We may modify this Agreement at any time, we will notify you of any changes. You will be able to exercise your right to terminate this Agreement under clause 5.
8. TRANSFERRING RIGHTS
We uphold the right to transfer our rights and obligations under this Agreement at any time without your consent. You may not transfer your rights or obligations under this Agreement to any other parties.
9. GOVERNING LAW
UK English law shall apply to this agreement. We reserve the right to make any changes to our terms without notification.
