Buyer's Terms & Conditions

AutoeBid is a trading name for Commission It Limited, of 117 Waterloo Road, London, SE1 8UL. In these terms and conditions the following definitions apply: 'We' or 'Us' or ‘AutoeBid’ means Commission It Limited t/a AutoeBid. 'You', means the person whose name and address is stated on the [Buyers Registration Form or Order Form or Quotation Request Form], as the case may be. ‘Buyer’ means a person who has registered with Us as a potential purchaser of vehicles, 'Supplier' means a Broker/Wholesaler/Dealer or other third party registered with, or otherwise used by, AutoeBid for the supply of vehicles.

Overview of Services

1. We operate the website at www.autoebid.com (‘Website’) and operate a reverse auction service and quote request service, which allow communication between Buyers and Suppliers.  To use the reverse auction service, a Buyer submits an online order (‘Order’) by completing and submitting an online [Order Form], and the reverse auction service operates to contact a range of Suppliers who may submit bids (‘Bids’) to fulfil the Order. To use the quote request service, a Buyer requests a no-obligation quote (‘Quotation’) by submitting an online Quotation Request Form, and the service operates to contact a range of Suppliers who may give indicative quotations.

2. A Buyer’s registration details must be up to date on at the time that an Order is submitted in the reverse auction, or a Quotation is requested.

We act as Your agent

3. In both our reverse auction and quote request services, We operate to an agency model. This means that We will act as Your agent to locate potential Suppliers for the vehicle as described in Your Order Form or Quote Request Form ('Your requirement'). In our reverse auction system, we search for Suppliers to match Your requirement, and we pass on to You pricing and other information given to Us by any Suppliers who state that they can match (or nearly match) Your requirement. In our quote request system, we merely act as Your introduction agent, passing on Your contact details to any Suppliers who may be able to provide You with a quotation for Your requirement. In each case, our only obligation to You is to seek to provide such a service.

4. None of the information regarding vehicles or other information posted on our website, nor any Bids or Quotations which You receive through our services constitutes an offer or invitation to treat made by AutoeBid with respect to any vehicle.

All contracts for purchase of a vehicle are with the Supplier

5. Any contract for the purchase of a vehicle which results from our services will be between You and the relevant Supplier. This means that there are additional terms and conditions governing that contract as each Supplier will have its own terms and conditions relating to that vehicle. You should make sure that You read those terms and conditions, and it is Your responsibility to request a copy of them from the relevant Supplier. Because the contract for the purchase of the vehicle is between You and the Supplier, any queries or concerns relating to the vehicle and its delivery should be addressed to them and not to us. Autoebid will of course assist You with contacting the Supplier if You wish, but it is not our responsibility to do so.

Autoebid Pricing

6. All the Max Prices and other prices stated on the Website or communicated directly to You by Autoebid (orally or in writing) are prices as stated from Suppliers, or prices we know have recently been available for the relevant vehicle. We will not be held responsible for any inaccuracies in that pricing information. The Max Prices stated on the Website represent the suggested auction “reserve prices” for the reverse auction service (i.e. the highest price at which we will seek to procure for You the relevant vehicle). We are not representing to You that we will be able to procure a Supplier to supply at that price. Unless stated otherwise, prices are stated in UK pounds sterling.

Responsibility for Bids and Quotations rests with the Supplier

7. Bids and Quotations are the responsibility of the individual Suppliers who submit or supply them, and subject to clause 16, We can not be responsible for inaccuracies or misleading information given to You by Suppliers with respect to availability, pricing, delivery dates, or any other information provided by them.

8. All Bids and Quotations are subject to availability, and delivery dates stated are estimated and approximate.

Provision of personal information etc

9. By placing an Order in our reverse auction or by requesting a Quotation, You are expressly authorising us to provide Suppliers with Your contact information (including your email address). Suppliers will then contact You directly so that You can enter into a contract to purchase the vehicle directly with the Supplier. As stated in clause 5 above, the contract is between You and the Supplier (and AutoeBid is not a party thereto).

10. You undertake to Us that the personal and contact details You give Us whilst using Autoebid's services are correct, and in particular that the credit card or debit card details You use to pre-authorise the Autoebid fee are Your own and that there are sufficient funds to cover payment of the fee charged by AutoeBid in respect of any Order You make, both at the time the Order is placed (and the fee is pre-authorised), and at the time that the fee becomes payable as a result of a Successful auction in accordance with clause 12 below).

Commitment upon placing an Order in the Reverse Auction

11. [When You place an order in Our reverse auction, You are representing to Us and to Our Suppliers that you will purchase the requested vehicle from a Supplier who can submit a Bid at the ‘Reserve Price’ or less. This is a representation that you will purchase from any of our Suppliers who is able to fulfil Your Order at the Reserve Price (being the Max Price or NYOD) or less, although You do not necessarily have to purchase from the Supplier who submitted the lowest Bid (if multiple Bids are submitted under the Reserve Price). ]

12. When You place an Order in our reverse auction, You are agreeing to pay (and authorising us to take payment of) the Autoebid fee (1.5%+ VAT of RRP, if RRP is less than £20,000 (or) 1.25%+ VAT of RRP, if RRP is between than £20,001 and £30,000 (or) 1.0%+ VAT of RRP, if RRP is greater than £30,000) in the event that Your auction is Successful.  The auction is Successful for these purposes if either: (a) We find a Supplier who submits a Bid to fulfil Your requirement 100% at the Reserve Price or less, or (b) we find A Supplier who submits a Bid that nearly match Your requirement and You instruct us that You would like to proceed with that Supplier.  The Autoebid fee is payable for the service we provide in finding matching Suppliers, and it is therefore payable in the event of a Successful auction, whether or not You ultimately complete the purchase of the vehicle with the Supplier.  Once paid the Autoebid fee is totally non-refundable, in the absence of the negligence, fraud or wilful default on the part of an officer or employee of AutoeBid.

Price increases or delays by the manufacturer

13. After You have placed an Order for a vehicle, the manufacturer of a vehicle may increase the price of the vehicle or options on a vehicle at any time, and any such increase in the price may be passed wholly or partly on to You. Many manufacturers will price fix the vehicle at the time the deposit is paid, in the case the manufacture does price fix the vehicle you will be protected from any manufacturers price increase. Any such prices increases can only be applied from the manufacturer, not the Supplier. We will not be held responsible for any pricing increases or delays in delivery from the manufacturer, government changes to car tax/road tax or changes in VAT. However for vehicles being purchased through our reverse auction, where the manufacturer increases the price or delays delivery beyond a reasonable period, we will seek to procure (without obligation) the same percentage discount in respect of the increased price as applied in respect of the lower price or an alternative vehicle.

Liability of Autoebid

14. You acknowledge that due to the nature of the Internet, access to the Website may be suspended, restricted or terminated at any time. We accept no responsibility for this.

15. [Whilst we make reasonable enquiries of our registered Suppliers, and have procedures in place to monitor and ban Suppliers who do not satisfy our criteria], we make no guarantee as to the credit worthiness, existence, identity or ability to supply of any of our Suppliers

16. We may be liable to You only if a court finds that damage suffered by You has resulted from (1) our negligence, fraud or wilful default in carrying out our duties as Your agent as set out above, (2) a misrepresentation by Us of important information, or (3) a breach by Us of this contract or a relevant law. In the absence of any of these, you may not claim against AutoeBid (or any officer or employee or duly authorised agent of AutoeBid) to recover any damage suffered in connection with this contract.

Identity of Suppliers is Confidential

17. It is a term of this contract that all information regarding the identity of our Suppliers remains totally confidential. You may not disclose to any other person the identity of or any details of a Supplier without our written consent to do so. In addition it is a term of this contract that if you use the quote request service, You shall disclose to AutoeBid upon request the identity of the supplier of any vehicle you purchase within 6 months of requesting the quotation, (whether or not such supplier is one of Our Suppliers). In addition You should note that AutoeBid's service is only available to individuals and businesses not associated with the motor trade. By placing an Order [or requestion a Quotation], You are warranting and representing that you are not acting for or on behalf of a motor trade organisation. Breach of this representation and warranty, or failure to honour the terms of this clause 17, will give AutoeBid a right of action against You for damages. This clause 17 is included in this contract in order to protect Our position in the market. [If you make a repeat order for any additional vehicle at any time in the future from the supplier we introduce you to you will be required to pay AutoeBid its buyers fee relevant at the time of repeat order.]

Other

18. It is intended that these terms and conditions constitute the entire agreement between Us and You.

19. Any notice served on You in connection with this contract may be served personally or be left at the latest address given by You in Your Buyers Registration Form, Order Form or Quotation Request Form, or may be sent by first class post to such address. AutoeBid will accept service delivered personally or sent by first class post at our registered office. If served by first class post, notices shall be deemed to have been received 2 days after they are postmarked,

20. These terms and conditions shall be governed by English law and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

21. Autoebid reserves the right to make changes to these terms and conditions at any time and they shall take effect immediately upon being posted on the Website. By using the Website after such time, You are indicating Your agreement to the new terms and conditions as posted.

By submitting an Order in our reverse auction or by requesting a Quotation through our Quote System on our Website, You are agreeing to these Terms and Conditions.
